In accordance with the new provisions of the State Council on the division of responsibilities among relevant departments, transfer of State-owned shares and legal person shares of listed companies to foreign investors shall be subject to the Notice on Issues Concerning the Transfer of State-owned Shares and Legal Person Shares in Listed Companies to Foreign Investors (Zheng Jian Fa [2002] No. 83) promulgated by the China Securities Regulatory Commission ("CSRC"), the Ministry of Finance ("MOF") and the former State Economic and Trade Commission on November 1, 2002. Specifically, matters involving the utilization of foreign capital shall be handled by the Ministry of Commerce; those involving the transfer of State-owned shares of listed companies held by non-financial enterprises shall be handled by the State-owned Assets Supervision and Administration Commission of the State Council; and the handling of the matters involving the transfer of State-owned shares of listed companies held by financial enterprises shall be led by the MOF.

    根据国务院关于有关部门新的职能分工的规定,向外商转让上市公司国有股和法人股,按照中国证监会、财政部、原国家经贸委于2002年11月1日发布的《关于向外商转让上市公司国有股和法人股有关问题的通知》(证监发〔2002〕83号)办理。其中,涉及利用外资的事项由商务部负责;涉及非金融类企业所持上市公司国有股转让事项由国务院国有资产监督管理委员会负责,涉及金融类企业所持上市公司国有股转让事项由财政部牵头。
