Chapter 1: General Provisions

第一章 总 则

  Article 1   These Measures are formulated in accordance with the applicable laws, administrative regulations and the provisions on the administration on the transfer of the State-owned equity of enterprises and on the comprehensive agricultural development, in order to regulate and intensify the transfer of the State-owned shares (hereinafter referred to as the "State-owned shares") held by the shareholding enterprise investing and participating in the State comprehensive agricultural development and to intensify the supervision and administration on the State-owned equity transactions.

      第一条 为规范和加强农业综合开发投资参股企业国有股权(以下简称国有股权)转让行为,加强国有股权交易的监督管理,根据国家有关法律、行政法规,以及企业国有产权转让管理和农业综合开发管理的规定,制定本办法。

  Article 2   For the purpose of these Measures, the "State-owned shares" means the equity formed, during the process of the experimental operation of investment and shareholding in the State comprehensive agricultural development, by the capital of central and local public finances invested in the shareholding enterprises by the asset operating agencies authorized by the departments of finance of provinces, autonomous regions, municipalities directly under the Central Government and cities specifically designated in the State plan (hereinafter referred to as the "provincial financial departments") and other equities recognized as owned by the State in accordance with applicable laws.

These Measures shall apply to activities such as compensable transfer of the State-owned shares to the legal persons, natural persons or other organizations at home and abroad (hereinafter collectively referred to as the "transferee") by the asset operating agencies holding State-owned shares on behalf of the State Agriculture Comprehensive Development Office (hereinafter referred to as the "Development Office") and the provincial financial departments (hereinafter collectively referred to as the "transferor").

      第二条 本办法所称国有股权,是指农业综合开发投资参股经营试点过程中,省、自治区、直辖市、计划单列市财政部门(以下简称省级财政部门)授权资产运营机构,以中央和地方财政资金投入到投资参股企业形成的权益,以及依法认定为国家所有的其他权益。

   代表国家农业综合开发办公室(以下简称国家农发办)和省级财政部门持有国有股权的资产运营机构(以下统称转让方),将所持有的国有股权有偿转让给境内外法人、自然人或者其他组织(以下统称受让方)的活动适用本办法。

  Article 3   The transfer of State-owned shares shall be conducted in accordance with the applicable laws, administrative regulations and policies and under the principles of openness, fairness and impartiality to protect the lawful rights and interests of the State and other parties concerned.

      第三条 国有股权转让应当遵守国家法律、行政法规和政策规定,坚持公开、公平、公正的原则,保护国家和其他各方合法权益。

  Article 4   Unless otherwise stipulated by laws and administrative regulations, the transfer of State-owned shares shall be conducted openly in the equity exchanges established in accordance with applicable laws.

      第四条 国有股权转让应当在依法设立的产权交易机构中公开进行。国家法律、行政法规另有规定的,从其规定。

  Article 5   The transfer of State-owned shares may be conducted in forms such as auction, bidding and tendering, transfer agreement and other ways as are stipulated by laws and administrative regulations.

      第五条 国有股权转让可以采取拍卖、招投标、协议转让以及国家法律、行政法规规定的其他方式进行。

  Article 6   The ownership of the State-owned shares that are to be transferred shall be clear and definite. The State-owned shares of an enterprise with unclear ownership or under any dispute may not be transferred. Transfer of the State-owned shares as security interest shall be subject to the relevant provisions of the Guaranty Law of the People's Republic of China and the Real Right Law of the People s Republic of China.

      第六条 转让的国有股权权属应当清晰。权属关系不明确或者存在权属纠纷的企业国有股权不得转让。被设置为担保物权的国有股权转让,应当符合《中华人民共和国担保法》及《中华人民共和国物权法》的有关规定。

  Article 7   The transfer of State-owned shares shall be supervised and administrated by the Development Office and the provincial financial departments and the transferor shall be responsible for the specific organization and implementation work thereof.

      第七条 国家农发办和省级财政部门负责国有股转让的监督管理工作,转让方具体组织实施国有股权转让。

Chapter 2: Supervision and Administration on the Transfer of State-Owned Shares

第二章 国有股权转让的监督管理

  Article 8   The Development Office shall perform the following functions and duties while supervising and administrating the State-owned shares transfer:

(1) Establishing the transfer system for State-owned shares and preparing the measures thereof in accordance with the provisions of the applicable laws and administrative regulations;

(2) Approving the transfer of State-owned shares; and

(3) Supervising and inspecting the transactions of State-owned shares.

      第八条 国家农发办对国有股权转让履行下列监管职责:

   (一)按照国家有关法律、行政法规的规定,制定国有股权转让制度和办法;

   (二)批准国有股权转让事项;

   (三)开展国有股权交易情况的监督检查工作。

  Article 9   The provincial financial departments shall perform the following functions and duties while supervising and administrating the transfer of State-owned shares:

(1) Examine proceedings for the transfer of State-owned shares and report the shares transfer plan for the State-owned to the higher authority;

(2) Select and determine the equity exchanges engaging in transactions of the State-owned shares;

(3) Carry out routine supervision and inspection of the transactions of the State-owned shares; and

(4) Be responsible for collecting, gathering, analyzing the information concerning the transfer of State-owned shares and report the same to the higher authority.

      第九条 省级财政部门对国有股权转让履行下列监管职责:

   (一)审核国有股权转让事项,上报国有股权转让方案;

   (二)选择确定从事国有股权交易活动的产权交易机构;

   (三)负责国有股权交易情况的日常监督检查工作;

   (四)负责国有股权转让信息的收集、汇总、分析和上报工作。

  Article 10   The transferor shall perform the following functions and duties while transferring the State-owned shares:

(1) Study whether the transfer of State-owned shares helps to maintain and increase the value of State-owned assets and whether it can improve the core competitive strength of the enterprise with share participation and promote the sustainable development of the said enterprise;

(2) Propose preliminary opinions on the transfer of State-owned shares in accordance with the relevant provisions and report such opinions to the relevant provincial financial departments for examination; and

(3) Report proceedings relevant to the transfer of State-owned shares to the provincial financial departments.

      第十条 转让方对国有股权转让履行下列职责:

   (一)研究国有股权转让行为是否有利于实现国有资产保值增值,提高投资参股企业的核心竞争力及促进企业的持续发展;

   (二)按照国家有关规定,提出国有股权转让初步意见,报省级财政部门审核;

   (三)向省级财政部门报告有关国有股权转让情况。

  Article 11   A qualified equity exchange selected for the transfer of State-owned shares shall meet the following basic requirements:

 (1) Abide by the provisions of the relevant laws, administrative regulations and rules as well as State policies concerning transaction of the State-owned shares;

 (2) Perform the functions and duties of an equity exchange and examine strictly the qualifications and conditions of the parties to the transactions of State-owned equity;

(3) Disclose the information of equity transactions in accordance with relevant regulations and report on a regular basis the transactions of the State-owned shares to the transferor and the relevant provincial financial departments;

 (4) Have corresponding transaction sites, information release channels and specialized personnel that meet the requirements for transactions of the State-owned shares; and

 (5) Conduct equity transactions in a standardized way and have no records for violation of laws and regulations for three (3) consecutive years.

      第十一条  国有股权转让可按下列基本条件选择产权交易机构:

   (一)遵守国家有关法律、行政法规、规章以及国有股权交易的政策规定;

   (二)履行产权交易机构的职责,严格审查国有产权交易主体的资格和条件;

   (三)按照国家有关规定公开披露产权交易信息,并能够定期向转让方和省级财政部门报告国有股权交易情况;

   (四)具备相应的交易场所、信息发布渠道和专业人员,能够满足国有股权交易活动的需要;

   (五)产权交易操作规范,连续3年没有违法、违规记录。

Chapter 3: Procedure for the Transfer of State-Owned Shares

第三章 国有股权转让的程序

  Article 12   A feasibility study shall be conducted for the transfer of State-owned shares which shall be deliberated in accordance with the internal decision-making procedures and a written resolution thereof shall be made thereafter.

      第十二条 国有股权转让应当做好可行性研究,按照内部决策程序进行审议,并形成书面决议。

  Article 13   In accordance with the approval procedure stipulated herein, the transferor shall commission a public accounting firm to conduct asset and capital verification on the targeted enterprise to be transferred or carry out a full audit against the same after the transfer of State-owned shares is approved by the Development Office. The verification and cancellation of the asset losses shall be processed in accordance with the relevant regulations.

The said public accounting firm shall conduct its businesses independently and impartially in accordance with the applicable law. No enterprises or individuals may interfere with the normal business operations of the said public accounting firm.

      第十三条  按照本办法规定的批准程序,国有股权转让事项经国家农发办批准后,转让方应当委托会计师事务所对转让标的企业开展清产核资或者实施全面审计。资产损失的认定与核销,应当按照国家有关规定办理。

   会计师事务所应当依法独立、公正地执行业务。企业和个人不得干预会计师事务所的正常执业行为。

  Article 14   The transferor shall commission an asset assessment agency to appraise its asset in accordance with relevant provisions on the basis of the asset and capital verification as well as the complete audit. The assessment report thereof, after submission to the provincial financial departments for record-filing shall serve as the reference frame in determining the transfer price of relevant State-owned shares.

If, during the process of a share transaction, the transaction price thereof is under 90% of the assessment result, the transaction in question shall not be continued unless otherwise approved by the Development Office.

      第十四条 在清产核资或者全面审计的基础上,转让方应当委托资产评估机构依照国家有关规定进行资产评估。评估报告经省级财政部门备案后,作为确定国有股权转让价格的参考依据。

   在股权交易过程中,当交易价格低于评估结果的90%时,须在获得国家农发办批准同意后方可继续进行。

  Article 15   The transferor shall commission the equity exchange concerned to publish the share transfer statement in the publicly circulated economic or financial newspapers and magazines at the provincial level or above and the website of the said equity exchange in order to disclose the relevant information about the transfer of the State-owned shares and to invite the transferee on a wide basis. The term of the said share transfer statement shall be twenty (20) working days.

The information about the transfer of State-owned shares to be disclosed by the Transferor shall include the following contents:

(1) Basic information of the transfer target;

(2) The share structure of the enterprise targeted to be transferred;

(3) The information of the internal decision making concerning the share transfer and the approval thereof;

(4) The recently-audited data of the main financial indicators of the transfer-targeted enterprise;

(5) The information about the record-filing for the asset assessment of the transfer-targeted enterprise;

(6) The basic requirements for the transferee; and

(7) Other matters required to be disclosed.

      第十五条 转让方应当将股权转让公告委托产权交易机构刊登在省级以上公开发行的经济或者金融类报刊和产权交易机构的网站上,公开披露有关国有股权转让信息,广泛征集受让方。股权转让公告期为20个工作日。

   转让方披露的国有股权转让信息应当包括下列内容:

   (一)转让标的的基本情况;

   (二)转让标的企业的股权构成情况;

   (三)股权转让行为的内部决策及批准情况;

   (四)转让标的企业近期经审计的主要财务指标数据;

   (五)转让标的企业资产评估备案情况;

   (六)受让方应当具备的基本条件;

   (七)其他需披露的事项。

  Article 16   When inviting the transferee, the transferor may, set forth necessary requirements on the transferee for the transferee's qualification, business reputation, business operation, financial status, administrative capacity and asset status.

Generally, the transferee shall meet the following requirements:

(1) Have a favorable financial status and payment capacity;

(2) Have a favorable commercial credit;

(3) Have full civil capacity where the transferee is a natural person; and

(4) Other requirements stipulated by laws and administrative regulations.

      第十六条 在征集受让方时,转让方可以对受让方的资质、商业信誉、经营情况、财务状况、管理能力、资产规模等提出必要的受让条件。

   受让方一般应当具备下列条件:

   (一)具有良好的财务状况和支付能力;

   (二)具有良好的商业信用;

   (三)受让方为自然人的,应当具有完全民事行为能力;

   (四)国家法律、行政法规规定的其他条件。

  Article 17   If the transferee is a legal person, natural person or any other organization of any foreign country, Hong Kong Special Administrative Region, Macao Special Administrative Region or Taiwan Region, the transfer of the State-owned shares shall be in conformity with the relevant regulations on foreign investments.

      第十七条 受让方为外国及中国香港特别行政区、澳门特别行政区、台湾地区的法人、自然人或者其他组织的,应当符合国家关于外商投资的有关规定。

  Article 18   If two or more transferees are generated after open invitation, the transferor, through negotiation with the equity exchange and in accordance with the actual situation of the transfer target, shall adopt ways for price competition such as auction, biding and tendering while conducting equity transactions.

The transfer of State-owned shares shall be carried in ways such as auction and biding and tendering, in accordance with the relevant regulations.

      第十八条 经公开征集产生两个以上受让方时,转让方应当与产权交易机构协商,根据转让标的的具体情况采取拍卖、招投标等竞价方式组织实施产权交易。

   采取拍卖、招投标等竞价方式转让国有股权的,应当按照国家有关规定组织实施。

  Article 19   A transfer may be proceeded through agreement if there is only one transferee after open invitation or if the said method is approved by the Development Office in accordance with the relevant provisions.

If a transfer proceeds through agreement, the transferor, by negotiating fully with the transferee, shall properly deal with the proceedings concerning transfer in accordance with the applicable laws.

      第十九条 经公开征集只产生一个受让方或者按照有关规定经国家农发办批准的,可以采取协议转让的方式。

   采取协议转让方式的,转让方应当与受让方进行充分协商,依法妥善处理转让中所涉及的相关事项。

  Article 20   The transferor and the transferee shall enter into a share transfer contract and shall obtain an equity transaction certificate issued by the equity exchange concerned after completion of the transfer of the State-owned shares.

      第二十条 国有股权转让成交后,转让方与受让方应当签订股权转让合同,并应当取得产权交易机构出具的产权交易凭证。

  Article 21   The contract for the transfer of State-owned shares shall include:

(1) Names and addresses of the parties to the transfer contract;

(2) Basic information on the State-owned shares of the enterprise targeted to be transferred;

(3) Transfer mode, transfer price, time and mode of payment as well as the terms of payment;

(4) Delivery of the share transferred;

(5) Taxes and expenses in connection with the transfer;

(6) Settlement of contractual disputes;

(7) Liabilities of parties thereto for breach of contract;

(8) Modification and rescission of the contract; and

(9) Other terms deemed necessary by the transferor and the transferee.

      第二十一条 国有股权转让合同应当包括下列主要内容:

   (一)转让与受让双方的名称与住所;

   (二)转让标的企业国有股权的基本情况;

   (三)转让方式、转让价格、价款支付时间和方式及付款条件;

   (四)股权交割事项;

   (五)转让涉及的有关税费负担;

   (六)合同争议的解决方式;

   (七)合同各方的违约责任;

   (八)合同变更和解除的条件;

   (九)转让和受让双方认为必要的其他条款。

  Article 22   The full price for the transfer of State-owned shares shall be paid by the transferee in the way stipulated in the share transfer contract. In principle, the payment for the transfer shall be a lump sum payment.

      第二十二条 国有股权转让的全部价款,受让方应当按照股权转让合同的约定支付。转让价款原则上应当一次付清。

  Article 23   The net income generated from the transfer of State-owned shares shall be processed in accordance with the relevant provisions of the Administrative Measures on Collecting Proceeds Arising from the State-owned Shares Participated by the State Comprehensive Development Investment in Agriculture.

      第二十三条 转让国有股权取得的净收入,按照《国家农业综合开发投资参股国有股权收益收缴管理办法》有关规定处理。

  Article 24   After the completion of the transfer of state-owned shares the transferor and the transferee shall undergo the relevant procedures for share ownership registration in accordance with relevant regulations with the share transfer certificate issued by the equity exchange concerned in a timely manner.

      第二十四条 国有股权转让成交后,转让和受让双方应当凭产权交易机构出具的股权交易凭证,按照国家有关规定及时办理相关股权登记手续。

Chapter 4: Approval Procedure for Transfer of State-Owned Shares

第四章 国有股权转让的批准程序

  Article 25   The transfer of State-owned shares of an enterprise with share participation by the comprehensive development investment in agriculture shall be approved by the Development Office. The provincial financial departments shall report in advance the proposed transfer of State-owned shares to the Development Office for examination and approval.

      第二十五条 国家农发办批准农业综合开发投资参股企业的国有股权转让。拟进行国有股权转让的,省级财政部门需预先报国家农发办审批。

  Article 26   The transferor shall first propose preliminary opinions on the transfer of State-owned shares and a formal scheme thereof shall be formulated after the said opinions are examined and verified by the competent provincial financial departments and the said scheme shall be subject to the approval by Development Office.

      第二十六条 国有股权转让事项,由转让方提出初步意见,经省级财政部门审核后提出正式方案,报国家农发办批准。

  Article 27   The Following written documents shall be censored in the examination and approval of the transfer of State-owned shares:

(1) The resolution documents in connection with the transfer of State-owned shares;

(2) The scheme for the transfer of State-owned shares;

(3) The assets assessment reports and documents for record-filing;

(4) The State-owned shares ownership certificates of the transferor and the transfer-targeted enterprise;

(5) The legal opinions produced by law firms;

(6) The basic requirements for the transferee; and

(7) Other documents required for examination and approval.

      第二十七条 审核、批准国有股权转让行为,应当审查下列书面文件:

   (一)转让国有股权的有关决议文件;

   (二)国有股权转让方案;

   (三)资产评估报告及备案文件;

   (四)转让方和转让标的企业国有股权证明;

   (五)律师事务所出具的法律意见书;

   (六)受让方应当具备的基本条件;

   (七)审核、批准要求的其他文件。

  Article 28   Generally, the following contents shall be expressly stated in the transfer scheme for the State-owned shares:

(1) Basic information on the State-owned shares of the transfer-targeted enterprise;

(2) Argumentation of the State-owned shares transfer;

(3) Disposal scheme for the proceeds arising from the transfer of State-owned shares; and

(4) Primary content of the transfer of State-owned shares statement to be published.

      第二十八条 国有股权转让方案一般应当载明下列内容:

   (一)转让标的企业国有股权的基本情况;

   (二)国有股权转让行为的有关论证情况;

   (三)国有股权转让收益处置方案;

   (四)拟刊登国有股权转让公告的主要内容。

  Article 29   If, upon the approval of the transfer of state-owned shares, the transferor and the transferee intend to adjust the proportion of the share to be transferred or if there are any material changes to the transfer scheme of the State-owned shares, the transferor and the transferee shall undergo the new procedure for approval thereof as required.

      第二十九条 国有股权转让事项经批准后,如转让和受让双方调整股权转让比例或者国有股权转让方案有重大变化的,应当按照规定程序重新报批。

Chapter 5: Legal Liabilities

第五章 法律责任

  Article 30   If, during the process of the transfer of State-owned shares, the transferor, the enterprise targeted to be transferred and the transferee, fall under any of the following circumstances, the Development Office or the provincial financial departments shall require the transferor to cease the share transfer concerned and, when necessary shall lodge a lawsuit with the people's court in accordance with the applicable laws to invalidate the transfer in question.

(1) The transactions are not conducted in the equity exchange pursuant to the relevant provisions stipulated herein;

(2) The transferor and the enterprise targeted to be transferred fail to carry out relevant internal decision-making procedures and approval procedures or transfer the State-owned shares beyond their authorities and without approval;

(3) The transferor and the enterprise targeted to be transferred deliberately conceal the assets which shall be included in the coverage of assessment or provide false accounting information to social intermediary agencies, thus resulting in distortion and lack of the auditing and assessment results and further resulting in the loss of State-owned assets;

(4) The transferor, by colluding with the transferee, transfers the State-owned shares at a low price, thus resulting in the loss of State-owned assets;

(5) The transferor and the enterprise targeted to be transferred fail to handle liabilities due to their employees and workers and to pay the social insurance premiums payable, thus infringing upon the lawful rights and interests of the employees and workers;

(6) The transferor fails to ascertain the creditor's rights and liabilities of the enterprise targeted to be transferred as required, illegally transfers the creditor's rights or evades the liability to discharge debts; the transferor transfers the State-owned shares taken as security without approval from the secured party;

(7) The transferee adopts means such as fraudulence and concealment to affect the transferor's selection and the conclusion of the share transfer contract; and

(8) The transferor beats down the transfer price through malicious collusion in price competition and auctions for share transfer, thus resulting in the loss of the State-owned assets.

The person-in-charge and other persons who are directly responsible for the above activities of the transferor and the transfer-targeted enterprise shall be dealt with by the relevant enterprise in accordance with the relevant regulations within their personnel management authorities.

      第三十条 在国有股权转让过程中,转让方、转让标的企业和受让方有下列行为之一的,国家农发办或者省级财政部门应当要求转让方终止股权转让活动,必要时应当依法向人民法院提起诉讼,确认转让行为无效。

   (一)未按本办法有关规定在产权交易机构中进行交易的;

   (二)转让方、转让标的企业不履行相应的内部决策程序、批准程序或者超越权限、擅自转让国有股权的;

   (三)转让方、转让标的企业故意隐匿应当纳入评估范围的资产,或者向社会中介机构提供虚假会计资料,导致审计、评估结果失真,以及未经审计、评估,造成国有资产流失的;

   (四)转让方与受让方串通,低价转让国有股权,造成国有资产流失的;

   (五)转让方、转让标的企业未按规定妥善处理拖欠职工各项债务以及未补缴欠缴的各项社会保险费,侵害职工合法权益的;

   (六)转让方未按规定落实转让标的企业的债权债务,非法转移债权或者逃避债务清偿责任的;以国有股权作为担保的,转让该国有股权时,未经担保权人同意的。

   (七)受让方采取欺诈、隐瞒等手段影响转让方的选择以及股权转让合同签订的;

   (八)受让方在股权转让竞价、拍卖中,恶意串通压低价格,造成国有资产流失的。

   对以上行为中转让方、转让标的企业负有直接责任的主管人员和其他直接责任人员,由相关企业按照人事管理权限根据国家有关规定进行处理。

  Article 31   If the social intermediary agency concerned gets out of the line in the auditing and assessment and its legal services for the transfer of State-owned shares in violation of rules, the transferor shall cease its authorization to the said agency for conducting the transfer of State-owned shares and shall impose a liability on the persons directly responsibile in accordance with the applicable laws.

      第三十一条 社会中介机构在国有股权转让的审计、评估和法律服务中违规执业的,转让方不得再委托其进行国有股权转让的相关业务,并依法追究直接责任人员的责任。

  Article 32   Where, while transacting the State-owned shares, an equity exchange impairs the national interest or the lawful rights and interests of the parties to the transaction through means such as falsification or malpractice, liability shall be imposed on the persons bearing direct responsibility in accordance with the applicable laws and such an exchange shall no longer be selected to conduct the state-owned shares transactions.

      第三十二条 产权交易机构在国有股权交易中弄虚作假或者玩忽职守,损害国家利益或者交易双方合法权益的,依法追究直接责任人员的责任,不再选择其从事国有股权交易的相关业务。

  Article 33   The examination and approval authorities for the transfer of State-owned shares and the relevant persons, in violation of the provisions hereof, approving the transfer of State-owned shares without approval or abusing authority for personal gain in the examination and approval thereof, thus resulting in losses of the State-owned assets shall be subject to disciplinary punishment by the relevant departments in accordance with the provisions on carder administration authorities; if a crime is suspected, the matter shall be transferred to the judicial authorities for investigation.

      第三十三条 国有股权转让审核、批准机构及其有关人员违反本办法,擅自批准或者在审核、批准中以权谋私,造成国有资产流失的,由有关部门按照干部管理权限,给予纪律处分;涉嫌犯罪的,移送司法机关。

Chapter 6: Supplementary Provisions

第六章 附 则

  Article 34   The provincial financial departments, in accordance with these Measures and by taking the actual local situation into consideration, may formulate the detailed rules for implementation hereof and shall submit the same to the Development Office for record-filing.

      第三十四条 省级财政部门可以根据本办法,结合本地区的实际情况,制定具体实施细则,报国家农发办备案。

  Article 35   These Measures shall not be applicable to the transfer of State-owned shares of the listed companies, which shall be governed by other relevant regulations.

      第三十五条 已上市公司国有股权转让,按照国家有关规定执行,不适用本办法。

  Article 36   These Measures shall become effective from January 1, 2009.

      第三十六条 本办法自2009年1月1日起施行。

 

 

附件:
