Except for the transfer to a Limited Partner’s Affiliate of all or any portion of such Limited Partner’s Interest, no direct or indirect sale, exchange, transfer, assignment, conveyance, pledge, mortgage, charge, gift, hypothecation or other encumbrance or disposition, including by way of aderivative instrument, of all or any portion of a Limited Partner's Interest may be made without the Consent of the General Partner.
