翻译笔记之“释义条文”的翻译比较

做法律翻译过程中，如何确保翻译既准确无误，又能适应目标语言的文化和语言习惯，至关重要。因笔者自身理论和实践限制，本“翻译对比”系列文章仅比较不同翻译策略在处理具体法律文本时的效果，希望通过比对不同的翻译版本，了解翻译中的微妙处理带来的效果差异。

在法律文件中，释义条文是文件重要的组成部分。起到了定义文档中使用的特定术语和表达方式，确保文本的明确性和一致性。释义条文通常出现在文件的开头部分，有时也会分布在整个文档中，以便于在特定上下文中明确某些术语的含义。

本文列举两例“释义条文”，每例条文列举两种译文，译文1和译文2均为笔者在翻译实践中常见译文，分析基于笔者翻译实践，阅读的书籍及个人偏好。

原文:

Construction Cost means any amount incurred or paid to any contractors or suppliers for work done, or materials or goods supplied, in connection with the construction of the Development and in rendering the Development fit to qualify for the issue of the Occupation Permit

译文1:

建筑成本指为建本发展项目并使本发展项目符合发出占用许可证(又称“入伙纸”)的条件而就完成的工作、供应材料或货品所招致或向任何承建商或供应商支付的任何款额。

译文2:

建筑成本指建筑本发展项目及使本发展项目得以获发占用许可证(又称“入伙纸”)所涉及的开支，即为完成工程或取得材料或货品而需支出或向任何承建商或供应商支付的金额。

比较分析：

原文修饰语比较多，翻译起来比较吃力，首先需要搞清楚句子关系。原文的主语是Construction Cost，而any amount可以理解为宾语。

修饰语I：incurred or paid to any contractors or suppliers for work done, or materials or goods supplied

修饰语II：in connection with the construction of the Development

修饰语III：in rendering the Development fit to qualify for the issue of the Occupation Permit

其中，II和III修饰I，I修饰any amount。

译文1和译文2均用词准确，忠实原文，准确传达了原文的意思。

与英文的长句相比，短句的表达更符合中文表达习惯。相比译文2而言，译文1的句子结构及语序稍显冗长与复杂。

·译文1基本上保留了英文原文的句子结构，作为中文文件阅读和理解起来，稍有吃力。

·译文2先总述“建筑成本”概念，再指出概念特征（修饰语），使得概念清晰明了。

尽管两种译文在法律文件中都比较常见，个人更倾向于第二种表达。

原文：

Knowledgeable Employees. “Knowledgeable Employee” means any natural person who is an

executive officer, director, trustee, general partner, advisory board member or person serving in a similar capacity of the Fund or an affiliated entity that manages the investment activities of the Fund, as well as an employee of the Fund or such an affiliate who, in connection with such employee’s regular functions, participates in the investment activities of the Fund and/or other private investment funds the investment activities of which are managed by such affiliate; provided that such employee has been performing such functions for or on behalf of the Fund or such affiliate, or substantially similar functions for or on behalf of another investment management firm, for at least twelve (12) months.

译文1：

知情雇员。“知情雇员”是指属于基金或管理基金投资活动的关联实体的高管、董事、受托人、普通合伙人、咨询委员会成员或者担任类似职位的任何自然人，以及参与基金和/或投资活动由该关联方管理的其他私募投资基金的投资活动的基金或该关联实体的雇员（就该雇员的日常职能而言）；但前提是该雇员代表基金或该关联方履行该等职能或者代表其他投资管理公司实质上履行类似的职能至少十二（12）个月。

译文2：

知情雇员。“知情雇员”指任何自然人，其担任基金或管理基金投资活动关联实体的高管、董事、受托人、普通合伙人、咨询委员会成员或类似职务，以及在其日常职能范围内参与基金及/或由该关联实体管理的其他私募投资基金投资活动的基金或该关联实体的雇员；前提是该雇员在基金或该关联实体代表或为其履行此类职能，或在其他投资管理公司代表或为其履行类似职能至少十二（12）个月。
