prevail一词，大家并不陌生，本意是“盛行；战胜“，它是法律英语的常见词，在法律英语中也有固定的译法”以......为准“，常出现在三种语境中：

1以某种语言为准

合同语言：本合同以中、英文两种文字拟定，具同等法律效力。如果有分歧，则以中文版为准。

Contract Language: the Contract is made in English and Chinese with the equal legal force.However, in case of dispute, the Chinese version shall prevail.

2以某协议为准

若章程的规定和本协议之规定存在任何冲突或不一致之处，以本协议之规定为准。股东应立即修改章程相关规定以便使本协议生效。
