settlement在合同翻译中通常有以下两层含义出现：

(1)争议等和解，如out-of-court settlement庭外和解；reach a settlement达成和解等；(2)帐目等清算、决算，如settled account已结清的账目；cash settlement现金结算等。

1争议等和解

You shall not, without the prior written consent of XXX (not to be unreasonably withheld) effect any settlement or release from liability in connection with any matter for which an Indemnified Person could be entitled to indemnification or reimbursement hereunder, unless such settlement or release contains a release of the Indemnified Persons reasonably satisfactory in form and substance to XXX.

未经XXX事先书面同意(不得被不合理地拒绝)，您不得在受赔偿人根据本协议可能有权获得赔偿或补偿的事宜中执行任何和解或豁免责任，除非该等和解或免除中包含形式和实质上令XXX合理满意的对受赔偿人的豁免。

2账目等清算、决算

QFII should mandate its custodian to open a RMB settlement account on its behalf in securities registration and settlement institution.

合格投资者应当委托托管人在证券登记结算机构代为开立人民币结算资金账户。
