partial invalidity条款，中文是“部分无效条款”，是合同的通用条款，其还有另外一种表述方式，即severability条款，也就是“可分割性条款”。

Partial Invalidity条款示例：

If, at any time, any term of a Finance Document is or becomes illegal, invalid or unenforceable in any respect under any law of any jurisdiction that will not affect:

(a)  the legality, validity or enforceability in that jurisdiction of any other term of the Finance Documents; or

(b)  the legality, validity or enforceability in other jurisdictions of that or any other term of the Finance Documents.

如果融资文件的任何条款在任何时候，根据任何司法辖区的任何法律，在任何方面被认定为非法、无效或不可强制执行，其不应影响：

(a) 融资文件其它任何条款在该司法辖区的合法性、有效性或可强制执行性；或者

(b) 该条款或融资文件其它任何条款在其它司法管辖区的合法性、有效性或可强制执行性。

Severability条款示例：

If a term of a Finance Document is or becomes illegal, invalid or unenforceable in any jurisdiction, that will not affect:

(a) the legality, validity or enforceability in that jurisdiction of any other term of the Finance Documents; or

(b) the legality, validity or enforceability in other jurisdictions of that or any other term of the Finance Documents.

如果融资文件的某条款在任何管辖区被定为违法、无效或不可执行， 该认定不影响：

(a)  融资文件中其他任何条款在该管辖区范围内的合法性、有效性或可执行性； 或
