反稀释条款(Anti-Dilution Provision)也称反股权摊薄协议,常见于私募投资领域,是用于优先股协议中的一个条款,是指在目标公司进行后续项目融资或者定向增发过程中,私募投资人避免自己的股份贬值及份额被过分稀释而采取的措施。

反稀释条款可以保证私募投资人享有的转换之特权不受股票之再分类、拆股、股票红利或相似的未增加公司资本而增加发行在外的股票数量的做法的影响。

下面介绍两种常见的反稀释条款:

 

完全棘轮条款(Full Ratchet Provision)

A full ratchet is an anti-dilution provision that applies the lowest sale price as the adjusted option price or conversion ratio for existing shareholders. It protects early investors by ensuring they are compensated for any dilution in their ownership caused by future rounds of fundraising. Full ratchet provisions can be costly for founders and can undermine efforts to raise capital in future rounds of fundraising.

从上述描述中可知,在完全棘轮条款项下,若后续发行的股份价格低于现有优先股的转换价格,则现有优先股的转换价格应相应调低至新的发行价格。比如,初始转换价格为5美元,后续的转换价格为2.5美元,那么投资人的初始转换价格需调整为2.5美元。由此可看出,这一条款是对优先股投资人最有利的方式,但对创始人来说却是不利的,而且对未来的融资也会产生不利影响。

 

加权平均条款(Weighted Average Provision)

Weighted average is a calculation that takes into account the varying degrees of importance of the numbers in a data set. In calculating a weighted average, each number in the data set is multiplied by a predetermined weight before the final calculation is made.

从上述描述中可知,加权平均条款,即如果后续发行的股份价格低于前一轮的转换价格,那么新的转换价格就会降低为前一轮转换价格和后续融资发行价格的加权平均值,即:给优先股重新确定转换价格时不仅要考虑低价发行的股份价格,还要考虑其权重(发行的股份数量)。

为了确定后续的转换价格,可采用下列公式:

C2=C1×(A+B)/(A+C)

其中:

C2=新增发行的转换价格

C1=前一轮转换价格

A=新增发行前发行在外的股份数量

B=公司新增发行股份所收到的总股款

C=新增发行的股份数量
