2000 DEFERRED COMPENSATION PLAN

Established Effective January 1, 2000

Albertson’s, Inc., a Delaware corporation (the "Company"), does hereby establish, effective January 1, 2000, the Albertson’s, Inc. 2000 Deferred Compensation Plan (the "Plan") as an unfunded deferred compensation arrangement for a select group of management or highly compensated employees. The Plan is implemented with the intention that it will aid in retaining and attracting employees of exceptional ability by providing such employees with a means to supplement their income at retirement.
