Novation表示债的更新;是一个源自罗马法并引入普通法的概念,the substitution of a new obligation for an old one by mutual agreement between the parties, esp of one debtor or creditor for another 指用一项新的债取代一项已存在的债,使后者的效力得以消灭。其更新方式有三种:

1用新的债务人取代原来的债务人;

2用新的债权人取代原来的债权人;

3以新的债务内容,如用新合同(new contract)代替旧合同,取代原来的债务内容,而原债的当事人保持不变。
