There are no outstanding options, warrants,rights (preemptive or otherwise), calls, Contracts or other binding commitments to which the Seller is a party or by which the Seller is bound to sell all or part of the Purchased Equity Interest. Except for the transactions contemplated hereunder, the Seller has not assigned, transferred, sold, distributed, pledgedor otherwisedisposed of or agreed to dispose of all or any portion, or anyinterest in, the Purchased Equity Interest.

不存在转让方作为一方的或对其有约束力的要求转让方出售全部或部分转让股权权益的任何未完成的选择、承诺、权利（预期的或其它）、要求、合同或其他对其有约束力的承诺。除拟议交易外，转让方未交付、转让、出售、分配、质押、另行处置或同意处置全部或部分转让股权权益或其利益。

Except to the limited extent provided in Section7 of this Agreement or pursuant to the written consent of the Committee, the Restricted Shares and the rights and privileges conferred hereby shall not be transferred, assigned, or otherwise disposed of in any way (whether by operation of law or otherwise) prior to vesting. 

除非本协议第7条另有规定或证交会书面同意，受限股票及其相应的权利和特权在授予前，不可转让或以其他任何方式处置(无论以法律方式或其他)。
