第十一条其他法律对民事关系有特别规定的,依照其规定。

第十二条中华人民共和国领域内的民事活动,适用中华人民共和国法律.法律另有规定的,依照其规定。

Version A:

Article 11 Any special rule governing civil relations provided by other law shall be followed.

Article 12 Unless otherwise provided, the law of the People’s Republic of China shall  apply to civil activities conducted within the territory of China.

Version B:

Article 11 Where there are any special provisions on civil relations in any other law, such special provisions shall apply.

Article 12 The law of the People's Republic of China shall apply to civil activities within the territory of the People's Republic of China, except as otherwise provided for by any law.

此部分要点有五：1.shall用法, 2民事关系，3.特别（规定），4.民事活动, 5.适用。

1.“shall”。本部分是rule of law而不是rule of conduct，不能用shall。两译本都用了shall错误。

2.“民事关系”。Civil relations无异议。接近概念还有民事法律关系。

3.“特别规定”。根据一般法理，特别法优于普通法。民法总则属于general rules，对应的是special rule。In case there is any discrepancy between general rules and special rules, the latter shall prevail. FIDIC合同“一般合同条件”和“特殊合同条件”分别用的是General Conditions和Particular    Conditions，未用special或specific两词。

4.“民事活动”。Civil activities无异议。

5.“适用”。法律“适用”某某活动，法律主语用apply，applicable，govern，活动做主语可用be subject to。
