Where any obligation pursuant to this Agreement is expressed to be undertaken or assumed by any Party, such obligation shall be construed as requiring the Party concerned to exercise all rights and powers of control over the affairs of any other person which that Party is able to exercise (whether directly or indirectly) in order tosecure performance of such obligation.

若本协议项下的任何义务被表述为由任一方承担，该等义务应解释为要求相关方对任何其他人士的事务行使该方能够行使（无论直接或间接）的所有权利和控制权，以确保履行该等义务。

The appointment referred to in paragraph 3.1 shall be irrevocable and is given to secure the performance of the obligations of the Defaulting Shareholder under this Agreement. It shall be no impediment to registration of the Sale Shares under this paragraph 3 that no share certificate has been produced.

第3.1条所述委任不可撤回，意在保证违约股东履行其在本协议项下的义务。未出具股份证明书的，不妨碍第3条项下出售股份的登记。
