Except for the transfer to a Limited Partner’s Affiliate of all or any portion of such Limited Partner’s Interest, no direct or indirect sale,exchange, transfer, assignment, conveyance,pledge, mortgage, charge, gift,hypothecation or other encumbrance or disposition, including by way of aderivative instrument, of all or any portion of a Limited Partner's Interest may be made without the Consent of the General Partner.

Security Interest means a mortgage, charge,pledge, lien, assignment by way of security, hypothecation or other security interest securing any obligation of any person or any other agreement or arrangement having a similar effect.

担保权益是指为任何人的任何义务提供担保的抵押、押记、质押、留置、通过担保转让、担保契约或其它担保利益或具有类似性质的其它任何协议或安排。
