不招揽条款(Non-Solicitation Clause)也称为禁止招揽条款,指的是在合同履行期间或履行后一段时间内,禁止一方招聘对方雇员的条款,具体可以理解为企业在一定程度和范围上禁止离职员工将企业其他员工招揽至该离职员工所在的新公司。很多公司会在劳动合同、竞业限制协议、保密协议中设置这类条款来防止人才流失、保护公司的利益。以下为某劳动合同中有关不招揽的双语条款,供参考:

 

示例一:

Non-Solicitation. During Executive's employment by the Company hereunder and during a period of two (2) years following the date of termination of his employment with the Company, Executive will not, directly or indirectly, whether as an owner, partner, shareholder, consultant, agent, employee, co-venturer or otherwise, or through any other "person" (which, for purposes of this subsection, shall mean an individual, a corporation, a partnership, an association, a joint-stock company, a trust, any unincorporated organization, or a government or political subdivision thereof), (1) hire or attempt to hire any employee of the Company or any affiliate of the Company or any person who was an employee of the Company or any affiliate of the Company at any time during the twelve months immediately prior to the termination of Executive's employment with the Company, assist in such hiring by any other person, encourage any such employee to terminate his relationship with the Company or any affiliate of the Company; (2) directly or indirectly, request or cause customers, suppliers or other parties with whom the Company or any of its affiliates has a business relationship to cancel or terminate any such business relationship with the Company or any of its affiliates.

Compensation for the Non-Solicitation and Non-Competition Undertakings

不招揽与不竞争承诺补偿

 

15.1  By way of compensation for the non-solicitation and non-competition undertakings entered into by the Employee pursuant to Sections 13 and 14 above (hereinafter, the “Undertakings”), the Company agrees to pay the Employee a gross sum equivalent to one hundred percent (100%) of his basic monthly salary payable monthly throughout the post-termination period of the Undertakings. The Employee agrees and understands that payment of the compensation provided for pursuant to this Section 15.1 is conditional upon the Employee providing to the Company the name and address of the new employer, if any, and confirming the identity thereof on a monthly basis during the period of the Undertakings.

15.2 The Company shall be entitled to release the Employee from the Undertakings. Such release may be in respect of the entire period of the Undertakings (i.e. 12 months). In addition, the Company reserves the right, if the legitimate interests of the Company at the time of the notice of termination of the Employment permit it to do so, to release the Employee with respect to a portion of the period of the Undertakings, such release to apply, at the Company’s discretion, to one quarter, one half or three quarters of the duration of such period; PROVIDED HOWEVER THAT:

(a) Where the Company decides to release the Employee from the Undertakings (whether such release be partial or in respect of the entire period of the Undertakings), the Company’s obligations to make the payments set forth in Section 15.1 shall be reduced accordingly and therefore the Employee hereby releases and remises the Company from payment of the compensation or any other form of payment or indemnity in relation to the period of the Undertakings in respect of which the Company has released the Employee;

(b) Where the Company decides to release the Employee from the Undertakings (whether such release be partial or in respect of the entire period of the Undertakings), the Company shall provide written notice thereof to the Employee by recorded-delivery mail. Such notice may be provided at any time during the term of the Employment or after the date of notice of termination of the Employment; and

 

如果公司决定解除员工的有关承诺(无论是就有关承诺的部分期限还是整个期限解除),则公司应通过记录派递邮件的方式向员工发出书面解除通知。该等通知可在劳动合同期限内或劳动合同解除通知发出之日后的任何时候发出;和

 

(c) Where termination of the Employment is pursuant to notice give by the Employee, the Employee shall, at the same time, communicate in writing to the Company the name and address of his or her new employer, if any, in order to allow the Company to determine whether it is possible to release, whether in whole or in part, the Employee from the Undertakings.

如果劳动合同系根据员工发出的通知解除的,则员工应同时向公司书面告知其新用人单位(如有)的名称与地址,以便公司决定是否可能就全部或部分期限解除员工履行有关承诺。

15.3 员工陈述,鉴于员工的经验、能力及个人情况,本条及第13和14条的规定并不会使员工的生活难以为继,本条及其他各条中规定的限制对于充分保护公司及公司集团而言是合理、正当所需的措施。
