upon一词在《元照英美法词典》中给出了如下三层含义：

 

①在…上；②自…时起；③一旦…

 

《英汉法律用语大辞典》（第2版）给出的释义为：

向上；逼近；紧接着；依据；遵照；因

 

upon与on同义，且在多数场合下，更常使用on，但在表示条件或事件发生时，使用upon则更为准确。在法律英语或合同中，upon通常用于表述对将来的时间限制，表示“在...后立即...”。

 

如：

Any resolution declaring or resolving upon the payment of a dividend or other distribution on shares of any class, whether a resolution of the Company in general meeting or a resolution of the Board, may specify that the same shall be payable or made to the persons registered as the holders of such shares at the close of business on a particular date, notwithstanding that it may be a date prior to that on which the resolution is passed, and thereupon the dividend or other distribution shall be payable or made to them in accordance with their respective holdings so registered, but without prejudice to the rights inter se in respect of such dividend of transferors and transferees of any such shares.

与simple interest相对，又称利滚利，指本金利息再加以前利息期应计而未付利息的利息，复利一般为法律所不允许。

针对对方当事人在其抗辩中提及的同一要点或事项进行的再抗辩。

 

interest upon condition subsequent 既定利益；既得利益

immediately upon arrival 到达即处理

代理销售活动中的术语，出现于货主给予代理商的指示中，表示货物一到代理商处即应尽快卖出，不论是否因此受到损失，代理商对此无权酌情处理。

upon the faith of a document 基于对票据真实性的信任

善意地相信票据持有者是票据的真正所有者。
