集体投资计划泛指一些有汇集性质的投资产品，是《证券及期货条例》（“Securities and Futures Ordinance”）下定义的投资产品种类。常见的集体投资计划会汇集不同投资者的资金，投资于由营办者（Operator）负责管理的资产组合。较普遍的集体投资计划包括互惠基金（Mutual funds）、单位信讬基金（Unit trust fund）、强制性公积金（强积金Mandatory provident fund schemes）计划和房地产投资信讬基金（Real estate investment trust）。

根据《证券及期货条例》，要符合集体投资计划的定义，大致有四个元素：

此类计划必须涉及就财产而作出的安排，可涵盖任何财产（包括房地产），不论其所在地是香港或海外；

此类计划的参与者（不论是否有权获谘询或作出指示）对有关财产的管理并无日常控制权；

计划的财产整体上是由该安排的营办者管理，及/或参与者的供款、用以付款给他们的利润或收益是汇集的；

有关安排的目的，是让参与者可从中得到利润、收益或其他回报。

例如，投资者买入一只股票基金，有关基金是从不同投资者汇集资金，并由基金经理管理，而投资者并无权决定选择哪些股票，基金并且向投资者派息，便符合以上的元素。

其英文为collective investment scheme ("CIS") ，具体释义如下：

A collective investment scheme ("CIS") is an arrangement that enables a number of investors (called 'participants' in the legislation) to pool their assets with a view to the investors sharing in the profits or income from the purchase, holding, management or disposal of the assets or sums paid out of such profits or income. To be a CIS, participants in the arrangement must not have day to day control over the management of the assets.

A new CIS listing applicant must appoint an agent, with sufficient experience, to discharge

the following functions:

集体投资计划上市新申请人须委任一名具足够经验的代理人履行下列职能：

(1) Communications with the Exchange – the agent will deal with the Exchange on

all matters arising in connection with the listing application and ensure that all the

applicable procedural and documentary requirements of this Chapter be complied

with; and

(1) 与本交易所之间的沟通—代理人将负责就是次上市申请所产生的一切事宜与本交

易所交涉，并确保申请人遵守本章所有适用的程序及文件规定；及

(2) Overall management of the listing process – the agent will ensure that the listing

process is managed and conducted in a fair, timely and orderly manner. Where the

new CIS listing applicant intends to conduct an initial public offer of its CIS interests

or in circumstances the Exchange or the Commission may otherwise determine, the

listing process includes, but is not limited to, the following activities:

(2) 上市程序的整体管理－代理人将确保上市程序的进行和管理方式公平、及时和有

秩序。倘集体投资计划上市新申请人拟对其集体投资计划权益进行首次公开发售，

或在本交易所或证监会另行厘定的其他情况下，上市程序包括（但不限于）下列活

动：

(a) processing of offer applications;

(b) allocations of interest in the CIS;

(c) underwriting and distribution activities;

(d) administration of subscription lists; and

(e) processing of subscription monies.
