无限责任是指当企业的全部财产不足以清偿到期债务时，投资人应以个人的全部财产用于清偿，实际上就是将企业的责任与投资人的责任连为一体。
无限连带责任，是指投资人除承担企业债务分到自己名下的份额外，还需对企业其他投资人名下的债务份额承担连带性义务，即其他投资人名下的债务份额自己有义务代其偿还债务份额。
连带责任界定的是债务人之间的责任，无限责任界定的是债务人和债权人之间的关系。
