主板市场和二板市场的区分最主要是在上市公司的规模和融资额上。

二板市场是一国证券主板市场之外的证卷交易市场，它的明确定位是具有高成长性的中小企业和高科技企业融资服务，是针对中小企业的资本市场。与主板市场相比，在二板市场上市

的企业标准和上市条件相对较低。

从国外的情况看，二板市场与主板市场的区别是：不设立最低盈利的规定，以免高成长的公司盈利低而不能挂牌；提高对公众最低持股量的要求，以保证公司有充裕的资金周转；设定主要股东的最低持股量及出售股份的限制，如两年内不得出售名下的股份等，以使公司管理层在发展业务方面保持对股东的承诺。此外，二板市场使用公告板作为交易途径，不论公司在何地注册成立，只要符合要求即可获准上市。
