浮动抵押的概念来源于英国衡平法院在司法实践中发展出来的一种特殊的抵押制度,它是一种特别抵押,指抵押人将其现在和将来所有的全部财产或者部分财产上设定的担保,在行使抵押权之前,抵押人对抵押财产保留在正常经营过程中的处分权。

浮动抵押不同于通常意义上的固定抵押(fixed charge),它不以特定的或可以确定的财产(ascertained and definite property)之上设立抵押,而是在具有流动性及不断变动性质的财产(property of an ambulatory and shifting nature)上进行抵押,例如用股票(stocks)和应收账款(receivables)进行抵押。以下为相关例句:

At 31st December, 2005, the Group had created a floating charge over certain assets of a subsidiary with a carrying value of HK$26,000 to banks as securities against banking facilities granted to the Group.
