Party A is a limited partnership/ limited liability company/ company limited by shares duly incorporated and validly existing under the laws of China, has been registered as a private fund manager with the Asset Management Association of China, and is qualified to offer private investment funds to the extent permitted by the applicable laws and regulations.

2．乙方系依法成立并经中国证监会注册登记的专业证券经营机构，具有基金销售等业务资格，按照相关法律法规的规定负责代理销售私募投资基金；
