Merit-based shares的意思为“优绩股”，就是业绩优良公司的股票。也作“蓝筹股”，但对于优绩股的定义国内外却有所不同。在我国，投资者衡量优绩股的主要指标是每股税后利润和净资产收益率。一般而言，每股税后利润在全体上市公司中处于中上地位，公司上市后净资产收益率连续三年显著超过10%的股票当属优绩股之列。在国外，优绩股主要指的是业绩优良且比较稳定的大公司股票。这些大公司经过长时间的努力，在行业内达到了较高的市场占有率，形成了经营规模优势，利润稳步增长，市场知名度很高。蓝筹，一般指的优绩股， 大蓝筹，就是规模很大的优绩股， 大蓝筹时代，就是规模很大的优绩股涨得多涨得好，超过其他类型的股票的时代。优绩股的特点是：投资报酬率相当优厚稳定，股价波幅变动不大。当多头市场来临时，它不会首当其冲而使股价上涨。经常的情况是，其它股票已经连续上涨一截，优绩股才会缓慢攀升；而当空头市场到来，投机股率先崩溃，其它股票大幅滑动时，优绩股往往仍能坚守阵地，不至于在原先的价位上过分滑降，具有典型的防守性特点。

The authorised share capital of the Company is US$7,700 divided into (i) 470,000,000 Class A Ordinary Shares of a nominal or par value of US$0.00001 each and (ii) 300,000,000 Class B Ordinary Shares of a nominal or par value of US$0.00001 each. Subject to the Companies Law and the Articles of Association, the Company shall have power to redeem or purchase any of its Shares and to sub-divide or consolidate the said Shares or any of them and to issue all or any part of its capital whether original,redeeming, increased or deduced with or without any preference, priority, special privilege, Merit-based or other rights or subject to any postponement of rights or to any conditions or restrictions what so ever and so that unless the conditions of issue shall otherwise expressly provide every issue of shares whether stated to be ordinary, preference or otherwise shall be subject to the powers on the part of the Company hereinbefore provided.

公司的法定股本为7,700美元，分成(i)470,000,000股每股面值0.00001美元的A类普通股和(ii)300,000,000股每股面值0.00001美元的B类普通股。在不违反《公司法》和章程的情况下，公司应有权赎回或购买其任何股份并拆分或合并上述股份或其中任何股份，并发行其全部或部分股本（无论是初始的、赎回的、增加的或减少的），在发行时附带或不带任何优先权、特权、优绩或其他权利或任何权利延期、任何条件或限制，以便（发行条件另有明确规定的除外）每次发行的股份（无论是普通股、优先股或其他股份）均受上述规定的公司权力制约。
