代理是法律术语，根据《中华人民共和国民法典》的相关规定，是指代理人以被代理人（又称本人）的名义，在代理权限内与第三人（又称相对人）实施民事行为，其法律后果直接由被代理人承受的民事法律制度。代理人在代理权限范围内实施代理行为。代理人以被代理人的名义进行代理行为。

代理关系即代理人经本人授权以本人名义行事，本人对代理人的代理行为负责。

这种代理的存在，不是基于当事人之间的协议，而是根据法律的规定。

2.代理人

代理关系中的一方当事人，即依照委托人的授权，以委托人的名义从事代理活动的人。

（2）attorney（多用于授权委托书）

在授权委托书中出现时，代理人一词很少用agent，而多用attorney，与之对应的委托人则为principal：
